The governor of Tamil Nadu will now have to take a call on whether to ask Mr Panneerselvam to show his support, or swear in Sasikala as the next chief minister.
On Tuesday evening, Mr Panneerselvam visited a "monument" erected in honour of Jayalalitha at the Marina beach in the capital, Chennai (Madras).
Correspondents say it is unclear whether Mr Panneerselvam will be able to garner the requisite support, although many people in the state have opposed Ms Natarajan`s elevation.
